General Terms and Conditions Seminars
1 Scope of application
a. These general terms and conditions, hereinafter referred to as "GTC", apply to all services in the context of seminars, training courses, workshops, presentations and similar events, hereinafter referred to as "seminars", of YourPower Kriminalprävention AG, Lagerplatz 6, 8400 Winterthur, hereinafter referred to as "YourPower".
b. They are deemed to be agreed upon acceptance of the service or offer from YourPower by the client. If the customer wishes to object to the GTC , this must be declared in writing within three working days. Deviating terms and conditions of the customer are hereby rejected. They are not valid unless YourPower recognizes them in writing.
c. Insofar as contracts or offers from YourPower contain deviating conditions, the individually offered or agreed contractual rules take precedence over these GTC .
d. The GTC apply to all future offers and services of YourPower within the framework of an ongoing business relationship with customers, even without express inclusion.
2 Seminar registration
Group registration can be made by telephone or in writing and is binding. The contract is deemed to have been concluded upon receipt of the written order confirmation from YourPower .
3 Minimum number of participants
Seminars for private individuals are generally only held with a minimum of 6 participants. Seminars for companies are not subject to a minimum number. If there are fewer participants than agreed, this does not entitle the client to a price reduction.
4 Maximum number of participants
In order to achieve the training objectives, the maximum number of participants for all half-day and one-day seminars offered by YourPower is limited to the group size specified in the order confirmation. If the group size is exceeded, additional participants will be charged. If the basic number of participants is exceeded, this will result in a reduction in the scope of the training and the seminar content (reduced program).
5 Notification of definitive participants
YourPower® will receive a list of participants from the client no later than 48 hours before the start of the event.
6 Seminar preparation
The client will provide YourPower® with all the information, materials, equipment and rooms required to carry out the order in good time.
7 Seminar realization
If a seminar is canceled due to illness of the instructor or speaker, as well as cancellations for which YourPower is not responsible and force majeure, there is no entitlement to implementation. If possible, an alternative date will be offered. YourPower accepts no liability whatsoever for items taken to the seminars or for other direct damages and costs including loss of earnings, loss of profit or claims by third parties, loss of data, travel costs, consequential and financial losses of any kind.
8 Cancellation of seminars
Cancellations and rebookings must be made in writing and only become legally valid once YourPower has confirmed them in writing.
Cancellations for all seminars will be invoiced as follows:
46 to 60 calendar days before the seminar date 50% of the seminar price
31 to 45 calendar days before the seminar date 75% of the seminar price
0 to 30 calendar days before the seminar date 100% of the seminar price
9 Seminar success
The lessons and exercises in the seminars are designed in such a way that an attentive participant achieves the seminar objectives. However, YourPower is not liable for the success of the training.
10 Invoicing
If a customer's seminar order extends over several months, YourPower is entitled to invoice the training services provided monthly in arrears.
11 Confidentiality
Both contracting parties undertake to treat information about the other contracting party confidentially, unless this information is already known to the public.
YourPower is obliged to maintain confidentiality with regard to the customer's business secrets that become known during the execution of the order and shall maintain confidentiality with regard to the content and execution of the cooperation and shall not disclose any business secrets of which it becomes aware. Any photo and film material to be produced will be used exclusively within the framework of internal training preparation for the customer and the instruction of YourPower trainers. Any third-party use is excluded.
The duty of confidentiality also applies beyond the duration of the cooperation.
12 Copyright seminar documents
All rights, including translation, reprinting and reproduction of all seminar documents or parts thereof, are reserved. The contents may not be reproduced - even in part - without the written permission of YourPower, not even for the purpose of teaching, in particular processed using electronic systems, duplicated or used for public reproduction.
13 Terms of payment
Seminar fees are due within 30 days of the invoice date.
Invoices are to be paid without deductions. In the event of late payment, YourPower is entitled to charge reasonable interest on arrears.
14 Applicable law and place of jurisdiction
Swiss law applies. The place of jurisdiction is Winterthur.
15 Final provisions
The invalidity of one of the above conditions does not affect the validity of the remaining provisions. The invalid provision shall be replaced by a legally permissible and valid provision which is suitable for achieving the intended purpose of the invalid provision. The same applies to the filling of loopholes.
